Terms for ‘New Seller Rebate’

The following will confirm the Terms of Agreement (the “Terms”) between you and ShopThing Inc. (the “Company” or “ShopThing” or “us” or “we”) regarding your performance and use of the services described in this Agreement (the “Agreement”). These Terms are subject to change by ShopThing Inc. and/or its subsidiary, ShopThing (USA) Inc. (together, referred to as “ShopThing”, “us”, “we”, or “our” as the context may require) without prior written notice at any time, in our sole and absolute discretion. We reserve the right, subject to applicable law, to deliver you any notice of changes to these Terms or the addition of new terms by posting an update of these Terms on our website or any other website we maintain or own or by delivering notice of changes to you electronically.  Your continued use of the ShopThing services, including but not limited to the use of the ShopThing mobile App and the ShopThing website, will constitute acceptance of any of these current, amended or new terms and you agree to be bound by this Agreement. If you do not agree to these terms, you should not access and use the ShopThing services.

1. Eligibility. ShopThing Rebates are open to legal residents of the United States of America and Canada, excluding Quebec, Hawaii, and Puerto Rico, who have reached the age of majority in their province, territory, or state of residence at the time of entry. By participating in this Rebate, entrants acknowledge compliance with, and agree to be bound by, these Rebate rules (the “Rebate Rules”). ShopThing shall have the right at any time to require proof of identity and/or eligibility to use the Rebate. Failure to provide such proof may result in disqualification. All personal and other information requested by and supplied to ShopThing for the purpose of the Rebate must be truthful, complete, accurate and in no way misleading. ShopThing reserves the right, in their sole discretion, to disqualify any entrant should such entrant at any stage supply untruthful, incomplete, inaccurate or misleading personal details and/or information, in ShopThing’s sole and absolute discretion.

   1. To qualify for this Rebate, you must become a new ShopThing Seller through the ShopThing website Sell With Us page and host a live event on the ShopThing mobile app with 25 products between the dates of February 9, 2024 to February 29, 2024. Rebate is valid for a ShopThing purchase made and successfully received via the ShopThing App, or via web checkout from February 9, 2024 (12:00 AM EST) to April 9, 2024 (11:59 EST).

2. How to Redeem. The Rebate will be paid in the form of a refund in the currency of the item that you purchased. Purchases must be $75.00 or above to qualify. Once you have placed a new order with ShopThing, please email shoppers@shopthing.com with your full name and order number. A member of our team will then process a refund in the amount of $75.00. Once the refund has been processed, you will receive an email, and the Rebate is no longer available for use. You must be signed into your Seller account at the time of purchase for the $75.00 to be applicable. Offer is not valid with other discounts and promotions. Only one Rebate can be applied per order. This rebate can only be earned one time and cannot be transferred. Offer is not valid on gift cards, services, charitable items or any other exclusions mentioned via ShopThing.

3. Compliance With Government Entities. ShopThing and its affiliates shall have the right to comply with any and all orders, recommendations, or directions whatsoever given by any government entity or by persons purporting to act with such authority, and such compliance shall not be deemed a breach of the Agreement or any agreement entitling the Winner to assert any claim for liability, compensation or refund.

4. Release and Indemnification. The Seller may be required to execute a legal agreement and release (the “Release”) that confirms their: (i) eligibility for the Rebate and compliance with the Rebate Rules; (ii) acceptance of the Rebate as offered.
   
   ShopThing is not responsible for: (i) incorrect or inaccurate entry information that may affect a person’s ability to participate in the Rebate or be awarded a Rebate, including but not limited to human error, technical malfunctions, lost or delayed entries for any reason, mail failures, omission, or any combination thereof, and entries that fail to fully comply with these Rebate Rules; (ii) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (iii) lost, incomplete, delayed, mutilated or misdirected entries or Seller Releases; (iv) injury or damage to entrants’ computers or to any other individual’s computer related to or resulting from participating in, or downloading any material regarding the Rebate or accepting a Rebate; (v) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Rebate or receipt or use or misuse of any Rebate, including any related travel and the use of entries by ShopThing; (vi) the security or privacy of information transmitted via computer networks or for breaches of privacy due to interference by third-party computer hackers or otherwise; or (vii) late, lost, misdirected or unsuccessful efforts to notify a potential winner.

5. Miscellaneous​. ShopThing reserves the right to terminate or amend this Rebate at any time and in any way, without prior notice. Without limiting the foregoing, if, for any reason, the Rebate is not capable of running as originally planned for any reason, ShopThing reserves the right to cancel the Rebate.
   
   The Rebate is void where prohibited by law. This Rebate will be governed by the laws of the Province of Ontario and the applicable laws of Canada therein as well as the applicable laws of the United States of America therein, and all matters will vest exclusively in the courts of Toronto, Ontario, Canada.
   
   This Rebate is in no way sponsored, endorsed or administered by any social media platforms on which the Rebate may have been promoted and/or publicized, including but not limited to Meta.

6. Use of Seller Name, Image, Likeness. ​By participating in the Rebate, entrants agree that ShopTthing and its designees will have the right to use Seller name, biographical details, voice, image, video, digital interpretations/copies, logos, brands or other likeness to publicize and promote the Company’s products and business throughout the universe (the “Territory​”) in any manner or media whatsoever, including, without limitation, for any and all advertising, promotion and/or other purposes of trade. It is understood that the use by third parties of Rebate disseminated by the Company shall not constitute a breach by the Company hereunder.

7. Rule Amendments. The Company reserves the right, in its sole discretion, to amend or modify these Rebate Rules, or modify, cancel or suspend this Rebate, without prior notice for any reason whatsoever, including without limitation in the event that any cause beyond the reasonable control of the Company corrupts, or threatens to corrupt, the security or proper administration of the Rebate.
