Terms & Conditions for ShopThing Shopper Search Contest:

  1. Eligibility. This Contest is open to legal residents of the United States of America and Canada, excluding Quebec, Hawaii, and Puerto Rico, who have reached the age of majority in their province, territory, or state of residence at the time of entry. By participating in this Contest, entrants acknowledge compliance with, and agree to be bound by, these contest rules (the “Contest Rules”). ShopThing (the “Sponsor”) shall have the right at any time to require proof of identity and/or eligibility to participate in the Contest. Failure to provide such proof may result in disqualification. All personal and other information requested by and supplied to the Sponsor for the purpose of the Contest must be truthful, complete, accurate and in no way misleading. The Sponsor reserves the right, in their sole discretion, to disqualify any entrant should such entrant at any stage supply untruthful, incomplete, inaccurate or misleading personal details and/or information, in the Sponsor’s sole and absolute discretion. 

  2. Contest Dates and Times. The Contest begins on November 23, 2022 at 11:59 EST and closes December 14th, 2022 at 11:59 EST (the “Contest”). Winner will be contacted via email provided and announced on the ShopThing App.

  3. How to Enter. There is no purchase necessary to enter this Contest. You can enter by completing the entry form at https://forms.gle/PZteS2hoqoCnpc246. For this Contest, receipt of an Internet entry occurs when Sponsor’s server records the entry information. All entries must be complete and are subject to verification by the Sponsor, in its sole discretion. Limit one entry per person. Entries that are late, lost, stolen, illegible, contain false information, are damaged, misdirected, mutilated, garbled or incomplete, altered or otherwise irregular or that do not conform with or satisfy any or all of the conditions of the Contest Rules are void. Entrants grant Sponsor a non-exclusive license to use all entries for any purpose, including but not limited to contacting and announcing the Winner and coordinating the provision of the Contest prize, for publicity and promotional purposes relating to the Contest in any and all media.

  4. Contest Prizes. There is a total of one (1) prize available to be won as follows: Round-trip airfare to New York or Miami, from Winner’s city (limited to a city within the United States of America or Canada, excluding Quebec, Hawaii and Puerto Rico), two (2) night hotel accommodation in New York or Miami, and one $200.00 USD prepaid credit card for one (1) Winner. Approximate retail value of Contest prize is $3,000.00 USD. The Prize/Contest is not transferable in any capacity or form - it cannot be converted to cash value, credit or exchange for any alternative options. Sponsor reserves, in their sole and absolute discretion, the right to choose, all aspects of prize and travel logistics, including but not limited to, hotel accommodations, travel dates, flights, and travel destination. All expenses and incidental travel costs not expressly stated in the prize description above, including but not limited to; ground transportation, personal charges at lodging, telecommunication charges, security fees, food and beverage, or other expenses or incidentals are not included and shall be the sole responsibility of the Winner. The Winner shall assume any and all liability for any injury or damage caused, or claimed to be caused, by entering, participating in this Contest or the use or redemption of a prize. Prizes must be accepted as awarded and have no cash value. Prizes or any portion of a prize cannot be combined with other discounts, promotions or special offers. Sponsor reserves the right to substitute an alternate prize of equal or greater value if an advertised prize is unavailable at the time of award, at the Sponsor’s sole and absolute discretion. Winner must have the legal ability to travel to Miami or New York, at the date selected by the Sponsor. 

    Winner agrees to host one (1) live shopping event with the ShopThing support team in either Miami or New York. During the live shopping event, the Winner is responsible for filming fifty (50) videos of fifty (50) unique products for use in the ShopThing iOS App and across the ShopThing Social Platforms. The Winner will need an iPhone (that supports iOS 15 and up) in order to access and host the event on the ShopThing iOS App. If the Winner does not have access to an iPhone, the Winner may be disqualified from the Contest.

  5. Compliance With Government Entities. The Sponsor and its affiliates shall have the right to comply with any and all orders, recommendations, or directions whatsoever given by any government entity or by persons purporting to act with such authority, and such compliance shall not be deemed a breach of the Agreement or any agreement entitling the Winner to assert any claim for liability, compensation or refund.

  6. Odds of Winning. The odds of winning depend on the number of eligible entries received before the Contest End Date.

  7. Winner Selection and Confirmation. The Sponsor, or an employee, agent or other representative of the Sponsor, will choose a winner from all eligible entries (the “Selected Entrant”). The Selected Entrant will be deemed the Winner if they meet all of the eligibility criteria set out in these Contest Rules. If a Selected Entrant does not meet the eligibility criteria, they will be disqualified and will not receive a prize and another entrant will be selected. Before being declared a winner, the Selected Entrant will be required to: (i) correctly answer the Sponsor’s skill-testing question; and (ii) comply with all other Contest Rules, all in the sole and absolute discretion of Sponsor. Selected Entrant will be notified within five (5) business days of the contest draw and will be contacted by the method provided at the time of entry into the Contest. Up to three (3) attempts will be made to contact the Selected Entrant within five (5) business days following the draw. The Selected Entrant that does not, or cannot accept a prize within the above noted time shall be forfeited and a new entrant shall be selected. 

  8. Release and Indemnification. The Winner may be required to execute a legal agreement and release (the “Release”) that confirms their: (i) eligibility for the Contest and compliance with the Contest Rules; (ii) acceptance of the prize as offered; (iii) acceptance of the ShopThing Influencer Contract (iv) release, discharge and hold harmless the Sponsor, its departments and agencies, related and affiliated companies, subsidiaries, franchisees, advertising and promotional agencies, counsel, marketing partners, and each of their respective directors, officers, employees, members, successors, sponsors, partners, licensees, subsidiaries, agents, artists, advisors, assignees, and all others associated with the administration, development and execution of the Contest (the “Released Parties”) from and against any and all manner of action, cause of action, claim or demand, loss or injury, use or misuse of a prize or any travel related thereto, and the use of entries by the Sponsor, suit, debt, covenant, contract, including legal fees and expenses, whatsoever, including but not limited to, claims based on negligence, breach of contract and fundamental breach, failure of any third-party contractor or supplier used in connection with any aspect of the Contest to perform or deliver any goods or services, any act of God or any other event beyond the Released Parties’ control, any dissatisfaction of any kind by a winner with any aspect of the Contest or any prize, liability for physical injury, death, or property damage which the entrants, guests, their heirs, successors or assigns have, might have or could have suffered, by reason of or arising out of the entrant’s participation in the Contest and/or in connection with the acceptance and/or exercise by the entrant of prizes as awarded; and (v) indemnify the Released Parties against any loss, damage or expense, including legal fees, that any of the Released Parties may suffer or incur as a result of any non-compliance by entrants with any of the Contest Rules or participation in the Contest and/or in connection with the acceptance and/or exercise by an entrant of a prize, and the use of entries by the Sponsor. The executed Release(s) must be returned within two (2) business days of the date indicated on the accompanying letter of notification or verification as a winner, or the selected individual(s) will be disqualified and any rights he or she may have to the prize will be forfeited.

    The Sponsor is not responsible for: (i) incorrect or inaccurate entry information that may affect a person’s ability to participate in the Contest or be awarded a prize, including but not limited to human error, technical malfunctions, lost or delayed entries for any reason, mail failures, omission, or any combination thereof, and entries that fail to fully comply with these Contest Rules; (ii) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (iii) lost, incomplete, delayed, mutilated or misdirected entries or Winner Releases; (iv) injury or damage to entrants’ computers or to any other individual’s computer related to or resulting from participating in, or downloading any material regarding the Contest or accepting a prize; (v) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize, including any related travel and the use of entries by Sponsor; (vi) the security or privacy of information transmitted via computer networks or for breaches of privacy due to interference by third-party computer hackers or otherwise; or (vii) late, lost, misdirected or unsuccessful efforts to notify a potential winner.

  9. Miscellaneous​. The Sponsor reserves the right to terminate or amend this Contest at any time and in any way, without prior notice to the Selected Entrant and/or the Winner. Without limiting the foregoing, if, for any reason, the Contest is not capable of running as originally planned for any reason, the Sponsor reserves the right to cancel the Contest.

    The Contest is void where prohibited by law. This Content will be governed by the laws of the Province of Ontario and the applicable laws of Canada therein as well as the applicable laws of the United States of America therein, and all matters will vest exclusively in the courts of Toronto, Ontario, Canada.

    This Contest is in no way sponsored, endorsed or administered by any social media platforms on which the Contest may have been promoted and/or publicized, including but not limited to Meta.

  10. Use of Winner Name, Image, Likeness. ​By participating in the Contest, entrants agree that the Sponsor and its designees will have the right to use entrants name, biographical details, voice, image, video, digital interpretations/copies, logos, brands or other likeness to publicize and promote the the Company’s products and business throughout the universe (the “Territory​”) in any manner or media whatsoever, including, without limitation, for any and all advertising, promotion and/or other purposes of trade. It is understood that the use by third parties of Content disseminated by the Company shall not constitute a breach by the Company hereunder.  

  11. Rule Amendments. The Sponsor reserves the right, in its sole discretion, to amend or modify these Contest Rules, or modify, cancel or suspend this Contest, without prior notice for any reason whatsoever, including without limitation in the event that any cause beyond the reasonable control of the Sponsor corrupts, or threatens to corrupt, the security or proper administration of the Contest.
